Terms of Service

The rules that govern your use of ClearBinder.

Summary:

Use ClearBinder for what it is — collecting client documents and running structured workflows. Don't break the law with it. We bill $29/month (or whatever plan you chose) and you can cancel at any time. We're not liable for things outside our reasonable control. UK law applies. Operated by DIGITFORGE LTD (UK).

1.Acceptance of terms

These Terms of Service (the "Terms") form a binding agreement between you and ClearBinder ("ClearBinder", "we", "us"). By creating an account, accessing the platform, or otherwise using the service, you agree to these Terms. If you don't agree, do not use the service.

If you're using the service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and references to "you" mean that organisation.

2.The service

ClearBinder is a software-as-a-service platform that helps accountants, bookkeepers, and similar firms collect, organise, and review documents from their clients. The platform lets you build document requests, send secure portal links to clients, receive uploads and structured submissions, and track activity.

We may add, change, or remove features over time. We'll give reasonable notice before changes that materially reduce the service's core functionality on a paid plan.

3.Accounts and eligibility

To use ClearBinder you must be at least 18 years old and capable of forming a binding contract. You're responsible for the accuracy of the information you provide and for keeping it up to date.

You're responsible for safeguarding your account credentials, including your password and any two-factor authentication recovery codes. Notify us immediately if you suspect unauthorised access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorised it.

4.Acceptable use

You agree not to use the service to:

  • Violate any law, regulation, or third party right;
  • Upload or distribute content that is unlawful, infringing, defamatory, or harmful;
  • Send unsolicited messages, spam, or marketing communications to clients through the portal;
  • Attempt to reverse engineer, decompile, or disrupt the service or its infrastructure;
  • Probe, scan, or test the vulnerability of the service without our prior written consent;
  • Interfere with other users' access to or use of the service;
  • Use the service to process personal data outside the lawful scope of your engagement with your clients.

We may investigate and act on suspected violations, including suspending or terminating accounts.

5.Subscriptions and billing

Paid plans are billed in advance on a monthly or yearly cycle, depending on the plan you choose. Fees are non-refundable except where required by applicable law or expressly stated by us.

Payments are processed by Stripe. By providing payment information, you authorise us (through Stripe) to charge the payment method on file for each renewal until you cancel.

You may cancel a subscription at any time from the billing settings. Cancellation takes effect at the end of the current billing period; you'll keep access until then.

If a renewal payment fails, we may suspend access after a short grace period and notify you so you can update your payment method.

We may change prices on notice. New prices take effect at your next renewal.

6.Free trial

We may offer a free trial of paid features. Trials are intended for evaluation. We may end or modify trial availability at any time and reserve the right to limit trials to one per individual or organisation.

If you don't subscribe to a paid plan before the trial ends, your account may be locked from making changes until you do.

7.Your content and your clients

You retain ownership of the documents, files, and information you and your clients upload to the platform ("Your Content"). You grant us a limited, worldwide, royalty-free licence to host, process, and display Your Content solely for the purpose of providing the service to you.

When your clients use a portal link to submit documents, you are the data controller for their information; we act as a processor on your behalf. See the Data Processing Addendum for the details.

You are responsible for ensuring you have a lawful basis to collect and process the information your clients submit, including any required notices and consents.

8.Intellectual property

The service, the platform, our trademarks, and all related software, design, and content (other than Your Content) are the property of ClearBinder or its licensors. Nothing in these Terms transfers any of those rights to you, except for the limited right to use the service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the service, except as expressly permitted by us.

9.Confidentiality

Each party agrees to keep confidential any non-public information the other shares that is reasonably understood to be confidential, including business information, customer data, security details, and pricing. This obligation continues for as long as the information remains non-public.

We may disclose confidential information when required by law, but will give you reasonable notice where lawful so you can seek protective relief.

10.Suspension and termination

We may suspend or terminate your access to the service if you breach these Terms, fail to pay fees when due, or use the service in a way that puts us, other users, or third parties at risk.

You may terminate your account at any time by cancelling your subscription and contacting us to close the account.

On termination, your right to use the service ends and we may delete Your Content after a reasonable retention period. You can request an export of Your Content before the retention period ends.

11.Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.

We do not warrant that the service will be uninterrupted, error-free, or secure against every possible threat. You are responsible for maintaining your own backups of mission-critical content.

12.Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to these Terms or the service.

Each party's total aggregate liability under these Terms in any 12-month period is limited to the amount you paid us for the service in that period.

Nothing in these Terms limits liability that cannot be excluded by law (such as for fraud, gross negligence, or death or personal injury caused by negligence).

13.Changes to these terms

We may update these Terms from time to time. If changes are material, we'll notify you by email or through the service before they take effect. Continued use of the service after changes take effect means you accept the updated Terms.

14.Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict of laws rules. Any dispute that cannot be resolved informally will be brought in the competent courts of England and Wales.
